Welcome to Factored Payments. These Terms of Service (“Terms”) govern your use of our website, applications, and services (collectively, the “Services”). By using our Services, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable to enter into contracts
You must provide accurate, complete, and current information.
You agree not to use the Services for unlawful purposes or in violation of these Terms.

2. Use of Service

You agree to use the Services only as permitted by law and these Terms. In using the Services, you will not:

Violate applicable laws or regulations.
Interfere with or disrupt the Services or servers.
Reverse engineer or copy the software or parts of the Service.
Use the Services for fraudulent or harmful activities.

3. Health / Professional Disclaimer

The Services provided are for business and financial use only. We do not provide medical, legal, or other licensed professional advice. You should consult a qualified professional for advice specific to your situation.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts for misuse or breach of these Terms.

5. Intellectual Property

All content, software, trademarks, and other intellectual property used in the Services are owned by or licensed to Factored Payments.
You may not use our brand, trademarks, or content without permission.
You grant us a license to use content you upload (e.g. testimonials, business data) to operate and improve our Services, subject to our Privacy Policy.

6. Termination

Either party may terminate these Terms at any time by notifying the other party.
We may suspend or terminate your access immediately if you breach these Terms.
Upon termination, your rights to use the Services end, but obligations that by their nature survive termination will remain in effect.

7. Limitation of Liability

To the maximum extent permitted by law, Factored Payments is not liable for indirect, incidental, or consequential damages.
Our total liability for any claim is limited to the amount you have paid us in fees during the 12 months before the claim.
This limitation applies regardless of the form of action—contract, tort, or otherwise.

8. Governing Law

These Terms are governed by and construed under the laws of the Province of British Columbia, Canada (or your province as applicable). Disputes will be resolved in the courts of that province.
