4. Accounts & Security

- We reserve the right to suspend or terminate accounts for misuse or breach of these Terms.
5. Intellectual Property
- All content, software, trademarks, and other intellectual property used in the Services are owned by or licensed to Factored Payments.
- You may not use our brand, trademarks, or content without permission.
- You grant us a license to use content you upload (e.g. testimonials, business data) to operate and improve our Services, subject to our Privacy Policy.
6. Termination
- Either party may terminate these Terms at any time by notifying the other party.
- We may suspend or terminate your access immediately if you breach these Terms.
- Upon termination, your rights to use the Services end, but obligations that by their nature survive termination will remain in effect.
7. Limitation of Liability
- To the maximum extent permitted by law, Factored Payments is not liable for indirect, incidental, or consequential damages.
- Our total liability for any claim is limited to the amount you have paid us in fees during the 12 months before the claim.
- This limitation applies regardless of the form of action—contract, tort, or otherwise.
8. Governing Law
These Terms are governed by and construed under the laws of the Province of British Columbia, Canada (or your province as applicable). Disputes will be resolved in the courts of that province.
